Below is our End User License Agreement (EULA). Please read carefully before purchasing and using any fonts. From time to time we update our EULA, so make sure to read even if you’ve bought from us before.
Scope of License
By receiving, purchasing, downloading, installing, using or otherwise handling our fonts, you accept the terms of this End User License Agreement (Licence). These terms and conditions replace and supersede any previously made oral or written proposals or agreements between you and us (Frost). If you do not accept the terms, you may not download, request or use our fonts. Do not share, distribute, illegally copy, steal from a licensed user or re‑sell our fonts
Definitions
Fonts: The digital typeface software and associated files provided by Frost.
Licensed User, you: The purchaser and end user of the Fonts under this Licence.
Users: The number of people within your organisation permitted to install and use the Fonts. Each User may install the Fonts on up to two (2) devices they use (e.g., office desktop and laptop for remote work).
Online Reach per month (Reach): Your total online audience count per calendar month, including all of the following, added together: website visitors, social media followers, newsletter/email subscribers, and app users. Example: 10,000 monthly web visitors + 7,500 app users + 30,000 social followers + 2,500 email subscribers = 50,000/m Reach.
Organisation: Usage inside your company or organisation, across all your business locations, but not including usage by clients or other third parties, including self‑employed parties who are working for you but are not using your devices at one of your business locations. Self‑employed third parties temporarily working at one of your business locations on your devices are considered part of your organisation.
Servers under your control: Servers or hosting services to which you or your organisation have sole administrative access.
Apps / Applications: Applications able to run and function on Microsoft Windows, Apple macOS, Apple iOS, Android (on versions less than 5 years old) or other operating systems that support the Fonts as supplied by Frost. Frost cannot offer technical support for unsupported systems.
Embed / Embedding: The inclusion of the Fonts in Applications (or application packages) so the application can style dynamic or static text. You must not embed the Fonts in physical devices, nor save Fonts onto a device to sell, gift, ship, or otherwise hand that device to any third party.
Ownership and Grant
Ownership: Purchased Fonts remain the intellectual property of Frost. Purchasing a licence makes you a licensed user, not an owner. Grant: Subject to payment and ongoing compliance with this Licence, Frost grants you a non‑exclusive, non‑transferable, non‑sublicensable licence to use the Fonts within your organisation for the duration of this Licence, within the limits of the Users and Online Reach you select at purchase and as shown on your invoice.
Permitted Uses
Desktop / Design use (by Users): You may install and use the Fonts on computers of up to the number of Users purchased. Each User may install the Fonts on up to two (2) devices they use. You may use the Fonts to create static or moving works (e.g., images, videos, documents, presentations, packaging) including logos. A copy of the Fonts may be temporarily supplied to a printer or prepress bureau strictly for output of your project files, provided they delete the Fonts after job completion. Internal servers and tools: You may store the Fonts on internal Servers under your control to enable permitted uses above. Web, Social, Email and App distribution (by Online Reach): You are licensing the right to distribute or display content using the Fonts up to your selected monthly Online Reach across your owned channels, including:
- Websites you self‑host (self‑hosted webfonts on Servers under your control).
- Social media accounts you operate.
- Email/newsletters you send.
- Applications you distribute.
Self‑hosted webfonts: You may host the Fonts on any number of hosting services for any number of domains you control, provided the total Online Reach across all domains and channels remains within your licensed Reach. App use: You may embed the Fonts in an unlimited number of Applications created within your organisation. Development access is permitted for:
- Up to the number of Users (if installing on developer machines), or
- Unlimited developers if the Fonts are only accessed via your organisation’s server tools/build systems and not installed locally.
Obligations, Reporting and Upgrades
Reach measurement: Online Reach per month must include, in aggregate, monthly website visitors, social media followers, newsletter/email subscribers, and app users. Use generally recognised analytics to document web visitors and reasonable, platform‑native counts for social followers, email subscribers, and app users. Exceeding limits: If at any time your actual Users or Online Reach exceed the amounts covered by your licence, you must promptly purchase a licence upgrade to cover the higher numbers. Frost may request reasonable evidence (e.g., screenshots from analytics/email platforms/app dashboards and follower counts) to confirm your Users and/or Reach are within licensed limits. Changes over time: If your Users or Reach increase, purchase an upgrade effective from the month the increase occurred. Broadcast, Streaming, Film, Gaming If you require a licence to cover Broadcast (TV, Streaming and Film) or Gaming, please enquire for a tailored licence at hello@frostype.xyz.
Restrictions. You must handle the Fonts responsibly. You must not:
- Share, distribute, illegally copy, steal from a licensed user, lend, sub‑license, or re‑sell the Fonts, or make them available to third parties except as expressly permitted (temporary supply to printer/prepress).
- Install or allow installation by anyone other than your licensed Users within your organisation.
- Use the Fonts in any racist, homophobic, transphobic or sexist context.
- Modify, convert, decompile, reverse engineer, disassemble, or create derivative works of the Fonts (including renaming, altering glyphs, or generating new font files) without Frost’s prior written consent. Contact us for bespoke modifications.
- Embed the Fonts in any physical device or save them on devices that are sold, gifted, shipped or otherwise handed to third parties.
- Use the Fonts in any manner that allows third parties to extract or download the Fonts, including via online generators or platforms that re‑serve font binaries outside your control.
Quality Assurance and Updates
We aim to produce our Fonts to high standards. If you experience difficulties, we will work with you to resolve issues. You use the Fonts at your own risk; Frost does not assume liability for your use. As part of our standard practice, we update our Fonts to meet current standards and may update the design (including stylistic changes or additional glyphs/alphabets). With your one‑time licence payment, you may request an updated version of any licensed Font free of charge.
Duration and Termination
This Licence starts on the date shown in your Licence Plan or invoice and continues for the period stated there, unless terminated earlier under this section. Your permitted limits (Users and Online Reach per month) apply throughout the Licence term. Any breach of this Licence is grounds for termination. If you are found to be using the Fonts illegally (including unauthorised sharing, sub‑licensing, resale, or use beyond licensed Users/Reach without upgrade), we may take legal action and seek all available remedies.We may terminate this Licence immediately by written notice if you commit a material or persistent breach and fail to remedy it (if remediable) within five (5) days after written notice requiring you to do so. We may also terminate immediately if:
- you engage in wilful or fraudulent misuse of the Fonts;
- you attempt to transfer or sub‑license the Fonts in violation of this Licence;
- or you refuse reasonable verification of Users and/or Online Reach.
All rights granted to you under this Licence cease on termination. You must immediately cease all activities authorised by this Licence. You must immediately and permanently delete or remove the Fonts from all computers, devices, servers, build systems, repositories, backups where practicable, and storage under your control, and destroy or return (at our option) all copies in your possession, custody, or control. Upon our request, you must certify in writing that you have done so. Any provision that expressly or by implication is intended to come into or continue in force on or after termination or expiry (including Ownership and Grant, Restrictions, Warranties and Liability, Updates to this EULA, and General) remains in full force and effect.
Updates to this EULA
We may update this End User License Agreement at any time without prior consent or notice. The version in effect at the time of purchase applies to your existing Licence, except where updates are required by law or expressly stated to apply to existing Licences. Transfer and Assignment This Licence is non‑transferable. You may not assign, sub‑licence, or transfer the Fonts or this Licence to any third party without Frost’s prior written consent.
Warranties and Liability
The Fonts are provided “as is.” To the maximum extent permitted by law, Frost disclaims all warranties, express or implied, including satisfactory quality, fitness for a particular purpose, and non‑infringement. Nothing in this Licence limits or excludes liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be limited or excluded under applicable law. Subject to the preceding sentence, to the maximum extent permitted by law, Frost shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenues, data, goodwill, or business interruption, arising out of or related to this Licence or use of the Fonts. Subject to the foregoing, Frost’s total aggregate liability arising out of or in connection with this Licence shall be limited to the amount you paid for the Licence.
General
Entire agreement: This Licence constitutes the entire agreement between you and Frost regarding the Fonts and supersedes all prior proposals or agreements. Severability: If any provision is found unenforceable, the remaining provisions remain in full force. No waiver: A failure or delay to enforce any provision is not a waiver of rights. Governing law and jurisdiction: This Licence, and any dispute or claim (including non‑contractual disputes or claims) arising out of or in connection with it or its subject matter or formation, shall be governed by and construed in accordance with the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction to settle any such dispute or claim.
Trials
A trial license is free and includes a full character set and allows you to use our trial fonts to decide if you want to buy a license. If you’re a designer, you can also use trial fonts to pitch design directions to your clients. You cannot use trial fonts publically, this includes social media.
Users
Select the amount of people that will be using the font files on their computer. Each user can install the font files on up to 2 devices. So you can install them on a desktop computer at the office, and a laptop for remote working.
